How to Restore a Deregistered Company
When a company has been dissolved by deregistration, shareholders, directors, or other interested parties may apply to the Court of First Instance to restore the company’s registration. Common reasons for restoration include:
- Recovering company assets or bank accounts.
- Settling outstanding contracts, properties, or legal rights.
- Reinstating the company to fulfill legal obligations or resume operations.
Two Main Methods of Company Restoration
1️⃣ Restoration by Court Order
Under Section 765 of the Companies Ordinance, a company removed from the Companies Register by the Registrar of Companies (a “dissolved company”) may apply to the High Court (Court of First Instance) for a restoration order.
- All court documents are prepared and filed by our solicitors.
- Once the court order is granted, the company’s legal status is fully restored.
- The restored company can lawfully conduct business, manage assets, and file tax returns again.
2️⃣ Administrative Restoration
If specific conditions are met, a company may apply directly to the Companies Registry for restoration without a court order. This process is faster and less costly.

- The company’s name must have been removed from the Register and dissolved.
- The company must have submitted all required documents (e.g. Annual Returns, financial statements).
- The Registrar may impose additional reasonable conditions when approving the restoration.
